These Terms of Service ("Terms") govern your use of the services, applications, and website (collectively, the "Services") offered by CENO TRANSPORT LTD ("Company," "we," "our," or "us"), a private company limited by shares registered in Nigeria (Registration No: 7425616).

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our Services.

Eligibility​

To use our Services, you must:

  • Be at least 18 years old
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using our Services under Nigerian law

Account Registration​

User Account​

  • You are responsible for maintaining the confidentiality of your account credentials
  • You agree to provide accurate, current, and complete information
  • You are solely responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account

Driver Account​

If you register as a driver, you must:

  • Possess a valid driver's license
  • Have a vehicle that meets our safety standards
  • Pass our background verification process
  • Comply with all local transportation laws and regulations
  • Maintain appropriate insurance coverage

Service Description​

Ride-Hailing Services​

  • Our platform connects passengers with independent drivers
  • Drivers are independent contractors, not employees of CENO TRANSPORT LTD
  • We do not guarantee the availability of drivers at all times
  • Rates for services are calculated based on distance, time, and demand

Courier Services​

  • Our platform facilitates the transportation of goods from one location to another
  • We are not responsible for the content or nature of items transported
  • Users must not request transportation of illegal or prohibited items

User Responsibilities​

You agree to:

  • Use our Services in accordance with these Terms and applicable laws
  • Maintain respectful behavior toward drivers, other passengers, and our staff
  • Provide accurate pickup and drop-off locations
  • Be present at the pickup location when the driver arrives
  • Not engage in any activity that could damage or impair our Services
  • Not use our Services for illegal purposes

Payment Terms​

  • Payment must be made through our approved payment methods
  • Prices may vary based on location, time, demand, and other factors
  • We may implement dynamic pricing during periods of high demand
  • Cancellation fees may apply if you cancel a ride after a driver has been assigned
  • Gratuities (tips) for drivers are optional but encouraged

Cancellation Policy​

  • Passengers may cancel rides without penalty within a specified time frame
  • Cancellation fees may apply after this grace period
  • Drivers may cancel rides without penalty in specific circumstances
  • Excessive cancellations by either party may result in account restrictions

Intellectual Property​

  • All content, features, and functionality of our Services are owned by CENO TRANSPORT LTD
  • Our name, logo, and other trademarks may not be used without prior written permission
  • Users grant us a license to use any content they submit via our Services

Limitation of Liability​

  • We provide our Services on an "as is" and "as available" basis
  • We do not guarantee uninterrupted or error-free service
  • To the maximum extent permitted by law, we shall not be liable for:
    • Indirect, incidental, special, consequential, or punitive damages
    • Loss of profits, data, or goodwill
    • Service interruptions or delays
    • Actions or omissions of third parties, including drivers

Indemnification​

You agree to defend, indemnify, and hold harmless CENO TRANSPORT LTD and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our Services or violation of these Terms.

Dispute Resolution​

  • Disputes shall be resolved through good faith negotiation
  • If negotiation fails, disputes shall be submitted to arbitration in Abuja, Nigeria
  • The arbitration shall be conducted in accordance with Nigerian law
  • The decision of the arbitrator shall be final and binding

Termination​

  • We reserve the right to suspend or terminate your access to our Services at any time
  • You may terminate your account at any time by contacting us
  • Upon termination, provisions of these Terms that by their nature should survive will remain in effect

Modifications to Terms​

  • We may modify these Terms at any time by posting the revised Terms on our website or app
  • Continued use of our Services after any changes constitutes acceptance of the revised Terms
  • We will make reasonable efforts to notify you of significant changes

Governing Law​

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles. The Companies and Allied Matters Act 2020 shall apply where relevant.

Severability​

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
