Supplier Code of Conduct

Introduction
At CENO TRANSPORT LTD, we are committed to conducting business ethically, legally, and sustainably. This Supplier Code of Conduct ("Code") outlines the expectations we have for all suppliers, vendors, contractors, consultants, agents, and other providers of goods and services who do business with CENO TRANSPORT LTD (collectively referred to as "Suppliers").
We expect our Suppliers to embrace this commitment to integrity and to conduct business responsibly with respect for human rights, ethical business practices, and environmental sustainability. Compliance with this Code is required for all Suppliers and their employees, temporary workers, agents, subcontractors, and other representatives.
Legal Compliance
Suppliers must comply with all applicable laws, regulations, and standards in the countries where they operate. This includes, but is not limited to:
- Anti-corruption and anti-bribery laws
- Competition and antitrust laws
- Data protection and privacy laws
- Environmental laws and regulations
- Import/export and trade compliance laws
- Intellectual property laws
- Labor and employment laws
Where local laws are less stringent than this Code, Suppliers are expected to follow this Code. Where local laws are more stringent than this Code, local laws shall prevail.
Business Ethics
Anti-Corruption and Anti-Bribery
Suppliers must:
- Prohibit all forms of bribery, corruption, extortion, and embezzlement
- Not offer or accept bribes, kickbacks, or other improper payments
- Maintain accurate books and records that properly document all transactions
- Implement adequate procedures to prevent corruption
- Report any suspicious activity involving CENO TRANSPORT LTD employees
Conflicts of Interest
Suppliers must:
- Disclose any actual or potential conflicts of interest
- Avoid situations where personal interests may inappropriately influence business decisions
- Not offer gifts or entertainment to CENO TRANSPORT LTD employees that might create a conflict of interest
Fair Competition
Suppliers must:
- Conduct business in full compliance with competition and antitrust laws
- Not engage in price fixing, bid rigging, market allocation, or other anticompetitive practices
- Not exchange sensitive business information with competitors
Intellectual Property and Confidential Information
Suppliers must:
- Respect intellectual property rights
- Protect confidential information shared by CENO TRANSPORT LTD
- Use such information only for the purpose for which it was shared
- Implement appropriate safeguards to protect confidential information
Labor and Human Rights
Child Labor
Suppliers must:
- Not employ children below the minimum age for employment under local law
- Protect young workers from any work that is mentally, physically, socially, or morally dangerous
- Adhere to the International Labour Organization (ILO) standards regarding child labor
Forced Labor and Human Trafficking
Suppliers must:
- Prohibit all forms of forced, bonded, indentured, or compulsory labor
- Not engage in or support human trafficking
- Not retain employees' identification documents or require workers to pay recruitment fees
- Ensure that all work is voluntary and workers are free to leave upon reasonable notice
Wages and Benefits
Suppliers must:
- Pay all workers at least the minimum wage required by applicable laws
- Provide all legally mandated benefits
- Pay wages regularly and on time
- Provide clear and understandable wage statements
Working Hours
Suppliers must:
- Ensure working hours comply with applicable laws
- Provide rest periods and days off in accordance with local regulations
- Not require workers to work more than the maximum hours permitted by law
- Compensate overtime appropriately
Non-Discrimination and Harassment
Suppliers must:
- Maintain workplaces free from discrimination and harassment
- Make employment decisions based on qualifications, skills, and experience
- Not discriminate based on race, color, age, gender, sexual orientation, ethnicity, disability, religion, political affiliation, union membership, or marital status
- Provide a workplace free from physical, verbal, sexual, or psychological harassment
Freedom of Association
Suppliers must:
- Respect the right of workers to form and join trade unions of their choice
- Recognize the right to collective bargaining
- Allow worker representatives to carry out their functions without discrimination
- Provide alternative means of worker representation where laws restrict freedom of association
Health, Safety, and Environment
Workplace Health and Safety
Suppliers must:
- Provide a safe and healthy working environment
- Implement procedures to prevent accidents and injuries
- Provide appropriate personal protective equipment at no cost to workers
- Train workers on health and safety procedures
- Maintain records of health and safety incidents
Emergency Preparedness
Suppliers must:
- Identify and assess potential emergency situations
- Implement emergency plans and response procedures
- Provide emergency exit routes, fire detection equipment, and alarms
- Conduct regular emergency drills
Environmental Protection
Suppliers must:
- Operate in an environmentally responsible manner
- Obtain and maintain all required environmental permits
- Minimize waste, emissions, and resource consumption
- Properly manage hazardous materials
- Implement environmental management systems where appropriate
Sustainable Practices
Suppliers are encouraged to:
- Develop and use environmentally friendly technologies
- Reduce carbon emissions and energy consumption
- Conserve natural resources
- Recycle and reuse materials where possible
- Develop sustainable products and services
Management Systems
Suppliers should implement management systems to:
- Ensure compliance with applicable laws and regulations
- Identify and mitigate related operational risks
- Facilitate continuous improvement
- Communicate the principles in this Code to their supply chain
- Maintain documentation to demonstrate compliance with this Code
Monitoring and Compliance
Assessment and Audit
- CENO TRANSPORT LTD reserves the right to verify compliance with this Code through assessments, audits, or requests for documentation
- Suppliers shall cooperate with reasonable assessment and audit activities
- Suppliers shall maintain documentation necessary to demonstrate compliance
Reporting Violations
- Suppliers must report suspected violations of this Code or any unethical behavior by CENO TRANSPORT LTD employees
- Reports can be made through our confidential reporting system at legal@ceno.ng
- Suppliers must protect the confidentiality of anyone who reports violations in good faith
Consequences of Non-Compliance
- CENO TRANSPORT LTD may terminate the business relationship for serious or persistent violations of this Code
- For less severe violations, Suppliers must implement corrective action plans
- CENO TRANSPORT LTD is committed to working with Suppliers to improve practices where possible
Continuous Improvement
We encourage Suppliers to:
- Continuously improve their practices related to the principles in this Code
- Develop their own supplier code of conduct consistent with these standards
- Communicate these expectations throughout their own supply chain
- Implement training programs for their employees on the principles contained in this Code
